Staking Service Terms of Use
These Terms of Use (hereinafter referred to as the "Terms") set forth the terms and conditions for the crypto asset staking service (hereinafter referred to as the "Service", as further defined in Article 1) provided by Hinode Technologies Inc. (hereinafter referred to as the "Company").
These Terms apply to all individuals and entities who use the Service (hereinafter referred to as the "Customer"). By using the Service, the Customer is deemed to have agreed to be legally bound by these Terms and any related regulations established by the Company. Please read the full text of these Terms carefully before using the Service.
Article 1: Definitions
In these Terms, the following terms shall have the meanings set forth below:
- 1. "Designated Crypto Assets" shall mean crypto assets as defined in Article 2, Paragraph 14 of the Payment Services Act (Act No. 59 of 2009) that are separately designated by the Company.
- 2. "Staking" shall mean the series of actions in a blockchain network employing a consensus algorithm such as Proof of Stake, whereby a Customer locks their Designated Crypto Assets for a certain period and delegates the validation rights associated with those assets to a validator, thereby contributing to the maintenance of the network and the process of verifying and approving transactions.
- 3. "Staking Rewards" shall mean rewards granted by a blockchain network in exchange for the contribution to said network through Staking; the details and scope of which shall be separately determined for each Designated Crypto Asset.
- 4. "Service" shall mean the service where the Company contributes to the network's verification and approval process by receiving Staking from Customers to validator nodes operated by the Company, and provides Staking Rewards to Customers accordingly. The Service shall be limited to non-custodial staking, which does not involve the transfer of the private keys of the Customer’s Designated Crypto Assets.
Article 2: Handling of Personal Information
If personal information, anonymous information, or aggregate information of the Customer is handled in connection with the Service, such information shall be handled in accordance with the Privacy Policy separately established by the Company.
Article 3: Service Content
The Company provides the Service using the Designated Crypto Assets agreed upon individually with the Customer. The types of Designated Crypto Assets, the details of Staking Rewards, the timing of payment, and other details shall be determined based on said individual agreement. The Company shall pay the Customer the remaining balance after deducting a service fee from the Staking Rewards received by the Company.
Article 4: Changes to the Service, etc.
- 1. The Company may, at any time and without prior notice to the Customer, change the content of all or part of the Service, or suspend or terminate the provision of the Service.
- 2. The Customer acknowledges in advance that the conditions for generating Staking Rewards, the calculation method, or the payment method for each Designated Crypto Asset may fluctuate based on specification changes or governance decisions of each blockchain network. Even if such changes occur, the Customer agrees that revenues of a nature similar to the respective Staking Rewards shall be included in said Staking Rewards.
Article 5: Intellectual Property Rights
- 1. All copyrights, patent rights, trademark rights, and other proprietary rights (hereinafter referred to as "Intellectual Property Rights, etc.") related to the Service belong to the Company or the third parties who hold legitimate authority over them.
- 2. The Customer shall not, without the Company’s consent, reproduce, modify, publicly transmit, or otherwise use any information provided by the Company through the Service in a manner that infringes upon the Company's Intellectual Property Rights, etc.
Article 6: Prohibited Acts
In using the Service, the Customer shall not engage in any of the following acts:
- 1. Acts that violate laws and regulations, public order and morals, or these Terms.
- 2. Criminal acts, acts linked to criminal acts, or acts that encourage such behavior.
- 3. Providing or disseminating false information to the Company or third parties regarding the Service.
- 4. Acts that cause damage to the Company or third parties.
- 5. Acts that interfere with the normal provision of the Service.
- 6. Acts that damage the reputation of the Company or the Service.
- 7. Any other acts that the Company reasonably deems inappropriate for a Customer of the Service.
Article 7: Revision of these Terms
The Company may change these Terms at any time by determining the effective date of the changes and notifying the Customer of the fact that the Terms will be changed, the content of the revised Terms, and the effective date thereof through publication on the Service, the website designated by the Company, or other appropriate methods, provided that any of the following items apply:
- 1. When the change is in the interest of the Customer.
- 2. When the change is reasonable in light of the purpose of the transaction related to the Terms and the necessity of the change, the appropriateness of the content after the change, and other circumstances related to the change.
Article 8: Disclaimer of Investment Advice
Neither the Service nor any information provided by the Company in connection with the Service is intended to provide advice regarding crypto asset investment. The Company does not solicit or recommend any such transactions.
Article 9: Prohibition of Assignment of Rights and Obligations
The Customer shall not assign, transfer, change the name of, pledge, provide as collateral, or otherwise dispose of all or part of their status, rights, or obligations under these Terms to any third party, except as expressly permitted under these Terms.
Article 10: Validity of these Terms
- 1. Even if any provision of these Terms is determined to be invalid based on laws and regulations, the validity of the remaining provisions shall not be affected.
- 2. Even if any provision of these Terms is determined to be invalid or cancelled in relation to a specific Customer, the validity of these Terms in relation to other Customers shall not be affected.
Article 11: Disclaimers
- 1. The Customer acknowledges that the services and information provided in the Service are subject to daily updates. The Company does not guarantee the permanence of the existence or content of such services and information.
- 2. The Company shall not be liable for any damage caused to the Customer or third parties due to the use or inability to use the Service, except in cases of intentional misconduct or gross negligence by the Company.
- 3. The Company does not guarantee the completeness, certainty, validity, usefulness, timeliness, legality, or fitness for a particular purpose of the Service or the information provided through the Service. Except in cases of intentional misconduct or gross negligence, the Company shall not be liable for any damage arising from the Customer’s use of (or inability to use) the Service or such information.
- 4. The Company does not guarantee that the Service does not infringe upon the rights of any third party.
- 5. The Company shall not be liable for any disputes arising between the Customer and a third party caused by the use of the Service, except in cases of intentional misconduct or gross negligence by the Company.
- 6. The Company shall not be liable for any damage caused to the Customer due to natural disasters, unauthorized access to the Service, computer virus intrusion, or other acts of third parties, except in cases of intentional misconduct or gross negligence by the Company.
- 7. The Company shall not be liable for any damage caused to the Customer due to telecommunications carriers, electric power companies, or other business operators, except in cases of intentional misconduct or gross negligence by the Company.
Article 12: Governing Law and Jurisdiction
- 1. These Terms shall be governed by and construed in accordance with the laws of Japan.
- 2. Any and all disputes related to the Service shall be subject to the exclusive agreed jurisdiction of the Tokyo District Court as the court of first instance.
